Terms of Use

1. Early Access and MVP Status

Govalta is an early-stage, invite-only platform currently made available to a limited number of design partners and authorized users for evaluation purposes. Access is not generally available and is granted at Govalta’s discretion.

The platform is under active development. Features, interfaces, APIs, and workflows may change without notice. Govalta makes no guarantee of feature completeness, continued availability, or backward compatibility during this stage.

By using the platform, you acknowledge that you are participating in an early evaluation program and accept the limitations that come with MVP-stage software.

2. Authorized Use

Access to Govalta is granted to specific individuals at authorized organizations. You may only use the platform:

  • Under credentials issued to you personally
  • For legitimate enterprise risk, audit, compliance, or remediation validation purposes within your organization
  • In accordance with these Terms and any additional agreements in place between your organization and Govalta

You may not share, transfer, or allow others to use your access credentials. Govalta reserves the right to revoke access at any time for any reason, including misuse or violation of these Terms.

3. Confidentiality

During the design partner and early access period, both parties agree to treat non-public information about the platform — including unreleased features, AI reasoning workflows, product direction, and pricing — as confidential.

Govalta treats your uploaded remediation evidence, governance documentation, and organizational data as confidential to your organization. We do not share this content with other organizations or use it beyond the purposes described in our Privacy Policy.

If your organization requires a formal Non-Disclosure Agreement (NDA) before sharing sensitive materials on the platform, contact us at contact@govalta.com before onboarding.

4. Prohibited Use

You may not use Govalta to:

  • Upload content you do not have authorization to share
  • Attempt to reverse-engineer, extract, or replicate Govalta’s AI reasoning models, prompts, or proprietary workflows
  • Circumvent, probe, or test the platform’s access controls or security boundaries
  • Violate any applicable law, regulation, or contractual obligation owed to a third party
  • Use the platform in connection with illegal activity, fraud, or material misrepresentation
  • Resell, sublicense, or make the platform available to unauthorized third parties

5. Platform Availability

Govalta is provided on an as-is, as-available basis during the early access period. We do not offer guaranteed uptime, service level agreements (SLAs), or recovery time commitments at this stage.

We will make reasonable efforts to maintain availability and notify users of planned maintenance. However, the platform may be taken offline, modified, or discontinued at any time.

Do not use Govalta as the sole record of critical enterprise data. Maintain your own copies of any information you upload to the platform.

6. Intellectual Property

Govalta and its underlying technology — including the platform interface, AI reasoning workflows, validation logic, scoring models, and associated software — are proprietary to Govalta and protected by applicable intellectual property laws.

Nothing in these Terms grants you ownership of, or a license to, Govalta’s intellectual property beyond the limited right to use the platform as described herein.

You retain ownership of the content you upload. By uploading content, you grant Govalta the limited right to process that content to provide the validation service.

7. AI-Generated Output

Govalta uses structured AI reasoning to generate evidence assessments, gap analyses, and closure recommendations. These outputs are designed to support human review — not to replace it.

AI-generated validation decisions are provided for informational and analytical purposes only. They do not constitute legal advice, regulatory guidance, or audit opinions. You are solely responsible for any decisions made based on Govalta’s output.

AI reasoning is not infallible. Always apply professional judgment when evaluating validation results, particularly in high-stakes closure decisions.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Govalta provides the platform without warranties of any kind, express or implied — including warranties of merchantability, fitness for a particular purpose, or non-infringement.

Govalta shall not be liable for any indirect, incidental, consequential, or punitive damages arising from your use of the platform — including losses related to data, business decisions, regulatory findings, or audit outcomes.

Govalta’s total liability to you for any claim arising from your use of the platform shall not exceed the amounts paid by you, if any, for access to the platform in the preceding twelve months.

9. Changes to These Terms

We may update these Terms as the platform evolves. Continued use of Govalta after changes are posted constitutes acceptance of the updated Terms. We will notify users of material changes through the platform or by email.
